Terms of Service

Last updated: January 2025. Please read these terms carefully before engaging ADIRA's services.

1. Agreement to Terms

By accessing our website or engaging ADIRA for services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use our services.

These terms apply to all visitors, enquiry submitters, and clients of ADIRA ("Company", "we", "us").

2. Services

ADIRA provides AI automation consulting, design, development, and integration services. The specific scope of services for each client engagement is defined in a separate Statement of Work (SOW) or Service Agreement.

We reserve the right to refuse service to any party, at our discretion, including where the requested work conflicts with our AI Governance principles.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate information about your business, systems, and requirements
  • Ensure you have the legal right to share any data provided to ADIRA for processing
  • Designate an authorised point of contact for the engagement
  • Review and approve deliverables in a timely manner per agreed project timelines
  • Use ADIRA's work only for lawful business purposes

4. Intellectual Property

Client IP: You retain full ownership of your business data, brand assets, and proprietary processes. ADIRA does not claim ownership of anything you provide to us.

Deliverables: Upon full payment, all custom-built automation systems, agents, and code specifically developed for your engagement transfer to you. Ownership transfer is documented in your Service Agreement.

ADIRA IP: Our internal frameworks, methodologies, tools, and pre-built components remain the intellectual property of ADIRA. These may be used within your engagement but are not transferred.

5. Payment Terms

Payment terms are defined in your individual Service Agreement. General terms include:

  • Invoices are due within 14 days of issue unless otherwise agreed
  • Project kickoff requires an upfront deposit as specified in your SOW
  • Late payments accrue interest at 1.5% per month
  • ADIRA reserves the right to pause work on overdue accounts

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business processes, technical systems, client data, pricing, and strategic plans.

Confidentiality obligations survive the termination of the engagement for a period of 3 years.

7. Limitation of Liability

To the fullest extent permitted by law, ADIRA's total liability to you for any claim arising from our services shall not exceed the total fees paid by you to ADIRA in the 12 months preceding the claim.

ADIRA is not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.

8. Warranties & Disclaimers

ADIRA warrants that services will be performed in a professional manner consistent with industry standards. We do not guarantee specific business outcomes (e.g. revenue increases, cost reductions) from automation implementations, as results depend on many factors outside our control.

Our website and tools are provided "as is" without warranty of any kind beyond what is explicitly stated in your Service Agreement.

9. Termination

Either party may terminate a Service Agreement with 30 days written notice. Upon termination, you are liable for payment of all work completed to date. ADIRA will deliver all completed work product and assist with a transition period as reasonable.

ADIRA may terminate immediately if a client is found to be using our services for unlawful purposes or in violation of our AI Governance principles.

10. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active clients. Continued engagement after changes constitutes acceptance.
